Terms and Conditions


1. Introduction

Welcome to Systems Experts (“Company,” “we,” “our,” or “us”). By accessing or using our services, solutions, or software products (“Services”), you agree to comply with and be bound by these Terms and Conditions. If you do not agree, please refrain from using our Services.


2. Scope of Services

Systems Experts provides professional consulting services, system implementations, ERP solutions, and related technical support. Specific terms for each service are outlined in the individual contracts or service agreements.


3. Eligibility

By using our Services, you warrant that you:

1. Are at least 18 years old.

2. Have the authority to enter into a binding agreement.

3. Will use the Services for legitimate purposes only.


4. User Obligations

1. Accuracy of Information: Users must provide accurate, current, and complete information during interactions with our Services.

2. Compliance: Users agree to comply with applicable laws and regulations while using our Services.

3. Prohibited Uses: Users may not use our Services to:

• Engage in fraudulent or illegal activities.

• Disrupt or damage our systems or networks.

• Share, sell, or misuse proprietary information without authorization.


5. Payment Terms

1. Subscription Payments

• Clients agree to pay for subscription plans based on the pricing and terms outlined during registration or as stated in the invoice. Payments must be made on or before the due date specified.

2. Pro-rata Adjustments for Upgrades and Downgrades

For Monthly Subscribers:

Upgrades: Pro-rata calculations will apply for the remaining days in the current billing cycle. An invoice for the additional cost will be issued.

Downgrades: Pro-rata calculations will apply, and any credit balance resulting from reduced usage will offset the next billing cycle.

For Annual Subscribers:

Upgrades: Clients will gain immediate access to additional features, and an invoice for the calculated cost difference will be issued.

Downgrades: Changes will take effect at the next billing cycle, with no immediate refunds for the difference.

3. Refund Policy

Annual Subscribers:

• No partial refunds are issued for mid-cycle cancellations unless agreed upon in writing.

• Any approved refund will be prorated for unused portions of the billing period, less applicable service fees.

Monthly Subscribers:

• No refunds for unused portions of the month unless services are terminated due to issues caused by Systems Experts.

4. Overdue Payments and Penalties

• A late fee of [5% per month] may apply to overdue amounts.

• Services may be suspended after 7 days of non-payment and permanently terminated after 30 days if payment is not received.

• Reactivation of services requires payment of the overdue balance and applicable reactivation fees.

5. Renewal Notifications

• Subscriptions automatically renew at the end of each billing cycle unless canceled at least 7 days prior to the renewal date.

• Clients will receive renewal notifications 14 days in advance for annual subscriptions and 5 days in advance for monthly subscriptions.

6. Payment Disputes

• Clients must notify the Company of any invoice disputes within 15 days of receiving the invoice. If unresolved, the Company reserves the right to suspend services.

7. Custom Pricing Scenarios

• For new subscribers starting mid-cycle, payments will be calculated on a pro-rata basis for the remaining days in the billing cycle.

• Additional charges for customizations or services beyond the agreed subscription plan will be detailed in a separate invoice.


6. Intellectual Property

1. All content, software, and materials provided by Systems Experts, including trademarks, logos, and proprietary algorithms, are the exclusive property of the Company.

2. Unauthorized use, reproduction, or distribution of our intellectual property is strictly prohibited.


7. Confidentiality

1. Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement.

2. Confidentiality obligations remain effective after the termination of the agreement.

3. The Company will not disclose Client-specific data without prior consent, except as required by law.


8. Warranties and Disclaimers

1. Limited Warranty: Systems Experts warrants that Services will be provided with reasonable skill and care.

2. Disclaimer: Systems Experts does not guarantee that all solutions will be free of defects or suitable for all user-specific purposes.

3. To the fullest extent permitted by law, Systems Experts disclaims all other warranties, express or implied.


9. Limitation of Liability

1. Systems Experts is not liable for indirect, incidental, or consequential damages arising from the use of our Services.

2. The total liability of Systems Experts is limited to the fees paid for the Services rendered in the six months preceding the claim.


10. Account Management and Termination

1. Clients can request account deletion or subscription termination at any time with prior written notice. Account deletion results in the loss of all customized services and data.

2. Systems Experts reserves the right to suspend or terminate a subscription for non-payment, breach of terms, or misuse of the service.

3. Upon termination, the Company is not obligated to retain Client data or customizations unless agreed otherwise in writing.


11. Force Majeure

Systems Experts shall not be liable for any delay or failure to perform due to circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures.


12. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Saudi Arabia.


13. Amendments

The Company reserves the right to modify these Terms and Conditions. Clients will be notified of significant changes and may choose to accept or terminate their subscription.


14. Acknowledgment

By subscribing to the Company’s services, you acknowledge that you have read, understood, and agree to abide by these Terms and Conditions.
